SEC Names Norberg Deputy Chief of Whistleblower Office
The Securities and Exchange Commission has appointed Jane Norberg as deputy chief of the Office of the Whistleblower, which oversees the agency's whistleblower program.
Staff in the Office of the Whistleblower help ensure that whistleblower complaints are handled appropriately, and recommend to the Commission whether an individual is eligible for an award.
Norberg comes to the SEC after 14 years of experience at her own law firm and at Shearman & Sterling. In these capacities, Norberg advised major public corporations regarding executive compensation disclosure, corporate governance issues, and other securities laws matters. She also negotiated and drafted severance arrangements for senior executive officers and provided guidance regarding non-competition and non-solicitation covenants.
Prior to her private law experience, Norberg served as a special agent for the U.S. Secret Service, where she worked with confidential informants in planning, organizing, and conducting investigations of federal crimes including telecommunications and bank fraud, counterfeiting of U.S. currency, and forgery of federal checks and bonds.
Compass EMP Funds Appoints Chief Compliance Officer
Compass EMP Funds, a registered investment adviser with the Securities and Exchange Commission, has appointed Pleshetta Loftin as chief compliance officer.
She will be responsible for overseeing planning, implementation, documentation, and management of all compliance and regulatory programs and initiatives.
Loftin, who's held several operating positions in the financial industry, previously served as chief compliance and operations officer at BBVA Wealth Solutions.
WellCare Health Plans Names General Counsel, Secretary
WellCare Health Plans has appointed Lisa Iglesias as general counsel, secretary, and senior vice president.
Iglesias joined WellCare in February 2010 as assistant general counsel and vice president, and she has served as acting general counsel since September 2011.
Iglesias has more than 20 years of experience in compliance, corporate governance, securities, and commercial transactions. She previously served as general counsel for Nordstrom from 2007 to 2008 and as general counsel for Spherion from 1999 to 2007.
DeVry Appoints New Chief Accounting Officer
Educational services provider DeVry has appointed Patrick Unzicker as chief accounting officer and vice president of finance.
Unzicker joined DeVry in 2006 as controller and became vice president and controller in 2008.
Previously, Unzicker served as vice president and controller for Whitehall Jewellers.
Microsoft Gets New Director
Microsoft has appointed John Thompson to its board of directors. His appointment brings the board's size to 10 members.
Thompson currently serves as chief executiveer of IBM's World Management Council.
Arbor Pharmaceuticals Names Chief Compliance Officer
Atlanta-based Arbor Pharmaceuticals has appointed Leslie Zacks as chief compliance officer and general counsel.
Zacks most recently worked at Shionogi Pharma, where he built the legal department and served on the company's executive leadership team. In that capacity, he was responsible for all legal, intellectual property, and compliance functions. He served as chief compliance officer, general counsel, and executive vice president at Shionogi Pharma from 2004 until 2010.
Previously he worked at Hunton & Williams, where he was a partner in the intellectual property litigation department. Zacks is a registered patent attorney who has held positions at Powell, Goldstein, Frazer & Murphy (now Bryan Cave) and Carlock, Copeland, and Stair.
Owens Corning Announces Management Changes
Owens Corning, a building materials and services company, has appointed Kelly Schmidt as chief accounting officer. She assumes the role from Chief Accounting Officer Mark Mayer, who retired March 31.
Since April 2011, Schmidt served as vice president and controller. She joined Owens Corning as vice president of internal audit in May 2010.
Prior to joining the company, Schmidt spent 13 years with United Technologies, where she held various positions, most recently leading the Shared Business Services organization.
Philip Morris General Counsel to Resign in June
Philip Morris International announced the resignation of General Counsel David Bernick, effective June 30. He as sumed the position two years ago.
The Switzerland-based tobacco company reported Bernick's resignation in a securities filing dated Feb. 13. The company did not provide any reason for the resignation nor did it disclose Bernick's future plans.
It its separation agreement with Bernick, however, the company said it would pay for Bernick's possible relocation from Switzerland to Chicago.
In connection with the resignation, Chairman and Chief Executive Officer Louis Camilleri issued the following internal memo: "In the past few weeks, David Bernick, senior vice president and general counsel, and I have had numerous candid discussions regarding his personal aspirations and objectives given his widely acknowledged expertise and immense intellectual capabilities," said Camilleri. "As a result of these conversations, I regret to inform you that David has concluded that his ambitions would be best served by pursuing other attractive avenues available to him."
Philip Morris has hired Marc Firestone, general counsel at Kraft Foods, to replace Bernick. Firestone plans to leave Kraft in April to rejoin Philip Morris, where he worked until 2003.
Cabot Oil Names Corporate Secretary, Managing Counsel
Houston-based Cabot Oil & Gas has appointed Deidre Shearer as corporate secretary and managing counsel. She assumes the role from Lisa Machesney, who is retiring in March.
Shearer joined Cabot from KBR, where she served as assistant general counsel for the last five years. She has served in many legal and management positions with a corporate transactional and securities focus.
Gateway Mortgage Names Chief Compliance Office
Gateway Mortgage Group has named Molly Reed Davis as chief compliance officer, as well as chief credit officer. She will be responsible for overseeing all compliance policies and procedures as well as managing credit relationships for the company.
Prior to joining Gateway, Davis was assistant vice president of third-party origination credit administration at MetLife Home Loans. With more than 25 years of senior level management experience in the mortgage industry, Davis also held positions at CitiMortgage; Capstead; and Countrywide Home Loans.
Siemens Appoints New General Counsel, Secretary
Electronic and electrical engineering giant Siemens has appointed Rose Marie Glazer as general counsel, senior vice president, and secretary. Glazer is the first female general counsel for Siemens United States.
Glazer most recently served as general counsel for Siemens PLM Software in Plano, Texas. She was responsible for the global legal affairs of the company and oversight of all corporate governance matters.
She also held the position of general counsel for Siemens Mesoamerica, overseeing the legal department for the company in Mexico, Central America, and the Caribbean.
Prior to joining Siemens in 2004, Glazer was vice president and general counsel at Telvista, an international contact center company. She also held in-house counsel positions at Allied Riser Communications and American Airlines. Additionally, she served as an attorney with law firm Jones Day.
In other news, Siemens also has appointed Vodafone legal director Claire Carless as UK general counsel and secretary. She assumes this role from Gerard Gent, who has retired after a 16-year stint with the company.
Carless has served at Vodafone, a British multinational telecommunications company headquartered in London, for the past ten years. Prior to that, she held the role of legal manager at National Power for eight years. She also spent time in private practice with law firm Stephenson Harwood in London and Hong Kong.
